01 Definitions

In these Terms, the following words carry the meanings set out below:

• "Agreement" means these Terms & Conditions together with any written engagement letter or service proposal accepted by both parties.
• "Service" refers to any AI integration consultation, setup, or retainer service provided by Tengah Works, including the Centring Session, Aligned Integration, and Even Keel Retainer.
• "User" or "Client" means the individual or business entity that engages Tengah Works for a Service.
• "We", "Us", "Our" refers to Tengah Works, operating from 391 Orchard Road, #14-07 Ngee Ann City, Singapore 238873.
• "Content" means any materials, documents, diagrams, or written summaries produced by Tengah Works in the course of delivering a Service.
• "Platform" means any third-party software tool, AI system, or integration service recommended or configured as part of our work.

02 Acceptance of Terms

By engaging Tengah Works — whether by making a payment, signing a proposal, or exchanging written confirmation — you indicate that you have read, understood, and agreed to these Terms. If you are engaging on behalf of a business, you confirm that you have the authority to bind that business to this Agreement.

• You must be at least 18 years of age to engage our services.
• You must have the legal capacity to enter a binding agreement under Singapore law.
• If you do not agree to any part of these Terms, please do not proceed with an engagement.

03 Service Description

Tengah Works provides AI integration consultancy for small and medium businesses primarily based in Singapore. Our three current offerings are:

1. Centring Session (S$178): A single working session that reviews how your tasks and tools are currently spread, with a written opportunity map and an honest set of next steps. No further commitment is required.
2. Aligned Integration (S$320): A two-to-three-week engagement covering tool configuration, a written workflow diagram, staff walkthrough, and two weeks of attentive follow-up.
3. Even Keel Retainer (S$550/month): A continuing monthly partnership covering tool upkeep, sensible adjustments as your needs evolve, weekday support, and a quarterly review.

Services are available to businesses operating in Singapore. Availability is subject to our current capacity; we will communicate any scheduling constraints clearly before an engagement begins.

04 User Responsibilities

To allow us to deliver our services properly, you agree to:

• Provide accurate and complete information about your business, workflows, and existing tools when requested.
• Respond to reasonable requests for input, access credentials, or clarification within an agreed timeframe.
• Ensure that any third-party platforms or tools you invite us to work with are properly licensed by you.
• Treat all Tengah Works staff, contractors, and representatives with professional courtesy.
• Not share, reproduce, or distribute any deliverables created for your business to third parties without our prior written consent.

Prohibited activities include using our recommendations to facilitate unlawful practices, misrepresenting the scope of work to third parties, or reverse-engineering our proprietary methodologies for resale.

05 Intellectual Property

All methodologies, frameworks, and working processes used by Tengah Works remain the sole property of Tengah Works. Written deliverables — such as opportunity maps, workflow diagrams, and summary reports — are licensed to you for use within your own business on a non-exclusive, non-transferable basis upon full payment.

• You may not resell, sublicense, or reproduce our deliverables for external commercial use.
• You retain ownership of any business data, documents, or materials you provide to us during an engagement.
• Where we configure third-party tools on your behalf, your rights to those tools are governed by the respective platform's own terms.

06 Payment Terms

All fees are quoted and payable in Singapore Dollars (SGD). Payment is due as follows:

• Centring Session: Full payment (S$178) before the session is scheduled.
• Aligned Integration: Full payment (S$320) upon acceptance of the written proposal.
• Even Keel Retainer: Monthly fee (S$550) due at the beginning of each engagement month.

We accept bank transfer and other payment methods confirmed at the time of engagement. Invoices are issued within two working days of agreement.

Cancellations: The Centring Session fee is refundable if you cancel with at least 48 hours' notice. For the Aligned Integration, a partial refund of work not yet completed may be offered at our discretion. The Even Keel Retainer may be paused or cancelled with 30 days' written notice; no refund is issued for the current month in progress.

Tengah Works reserves the right to adjust pricing for new engagements with reasonable advance notice.

07 Service-Specific Terms

Centring Session: The session is a one-off advisory meeting. Outcomes depend on the quality of information you provide. The written summary is for internal planning use; it does not constitute a legally binding implementation plan.

Aligned Integration: Setup timelines of two to three weeks are indicative and may be affected by third-party platform constraints or your team's availability for the walkthrough. We will communicate any changes as early as possible.

Even Keel Retainer: Weekday support is provided during standard business hours (Monday to Friday, 9 am – 6 pm SGT). Quarterly reviews are conducted by written summary or video call, at our mutual convenience. We will provide 30 days' notice before any change to the scope of a retainer.

Changes to the agreed scope of any service must be confirmed in writing by both parties before additional work proceeds.

08 Confidentiality

We treat all information shared during an engagement — including business processes, staff details, and financial context — as confidential. We will not disclose this information to third parties except where required by law or with your explicit written consent.

Where we work with third-party platforms on your behalf, we share only the minimum information necessary for configuration. We encourage you to review the privacy terms of any platform we recommend.

Tengah Works may reference the general nature of completed engagements (for example, "retail firm in Singapore") in anonymised form for illustrative purposes, without identifying you or your business, unless you have asked us not to.

09 Disclaimers

Our services are provided in good faith and with reasonable professional care, but we make no promises about specific business outcomes. In particular:

• We do not promise any particular level of time saving, revenue change, or efficiency gain from implementing our recommendations.
• Third-party AI tools and platforms that we configure are operated by their respective providers; we are not responsible for their availability, accuracy, or policy changes.
• Our advice is based on information you provide; we are not responsible for outcomes arising from inaccurate or incomplete information.
• Nothing in our service constitutes legal, financial, or tax advice. Where those matters arise, we recommend consulting an appropriately qualified professional.

10 Limitation of Liability

To the fullest extent permitted under Singapore law, Tengah Works' total liability to you for any claim arising from an engagement shall not exceed the total fees paid by you for the specific service to which the claim relates.

• We are not liable for indirect, consequential, or special damages, including loss of profit, data, or business opportunity.
• We are not liable for disruptions caused by third-party platforms, internet outages, or circumstances outside our reasonable control (force majeure).
• Our liability for the Centring Session is capped at S$178; for Aligned Integration at S$320; for the Even Keel Retainer at the most recent month's fee paid.

11 Indemnification

You agree to hold Tengah Works harmless from any claims, costs, or liabilities arising from:

• Your breach of these Terms.
• Inaccurate or misleading information provided during an engagement.
• Your use of third-party platforms in a manner that violates those platforms' terms.
• Any claim by a third party arising from actions you take based on our recommendations.

12 Termination

Either party may end an engagement as follows:

• One-off services (Centring Session, Aligned Integration): Either party may withdraw before work has commenced, subject to the refund terms in Section 6. Once work is underway, early termination by the Client does not entitle a refund for completed work.
• Even Keel Retainer: Either party may terminate with 30 days' written notice. Tengah Works may suspend the retainer immediately if payment is not received within 14 days of the due date.
• Breach: We may end any engagement immediately if you breach these Terms and fail to remedy the breach within 7 days of written notice.

On termination, any deliverables completed and paid for remain yours; any work in progress at the time of termination is handled as agreed in writing.

13 Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. If a disagreement arises, we prefer to resolve it directly and informally first:

1. Informal resolution: Contact us at [email protected]. We will respond within five working days and make a genuine effort to find a fair resolution.
2. Mediation: If informal resolution is not reached within 30 days, either party may request mediation through the Singapore Mediation Centre.
3. Courts: If mediation does not resolve the matter, disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

14 General Provisions

• Entire agreement: These Terms, together with any written proposal or engagement letter, constitute the full agreement between the parties and supersede prior discussions.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure to enforce a provision on one occasion does not waive our right to enforce it on a later occasion.
• Assignment: You may not transfer your rights under this Agreement without our prior written consent. We may transfer our obligations to a suitable successor business with reasonable notice.

15 Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, where the changes are material, we will notify active clients by email with at least 14 days' notice before the new Terms take effect.

Continuing to engage our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you may end your engagement in accordance with Section 12.
